The xonbuzz.com website (the “Site”) is comprised of various web pages operated by X on Buzz LLC (“X on Buzz”). xonbuzz.com is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). X on Buzz LLC (“we,” “us,” “our”) provides a platform that allows users to create personalized, easily-customizable pages to connect their audience to various online content, including videos, articles, recipes, tours, stores, websites, social posts, and more. 

2. Electronic Communications Visiting xonbuzz.com or sending emails to X on Buzz constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.

Your Account If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. By using any product, service, or functionality originating from the xonbuzz.com domain, you hereby acknowledge and consent that X on Buzz may share such information and data with any third party with whom X on Buzz has a contractual relationship to provide the requested product, service, or functionality on behalf of xonbuzz.com users and customers. 

7. No Unlawful or Prohibited Use/Intellectual Property You are granted a non-exclusive, non-transferable, revocable license to access and use xonbuzz.com strictly in accordance with these terms of use. As a condition of your use of the Site, you warrant to X on Buzz that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of X on Buzz or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends, or other restrictions contained in any such content and will not make any changes thereto. 

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. X on Buzz content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular, you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use and will make no other use of the content without the express written permission of X on Buzz and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. 8. Affiliate Program X on Buzz LLC offers an affiliate program that allows users to earn commissions by referring subscribers to the platform. By participating in the affiliate program, users agree to the following terms:

• • Commission Rate: Affiliates will earn a recurring commission of $5 for each active subscriber they refer. This commission will continue to be paid as long as the referred member remains active on the site. 

• • Payment Schedule: Commissions will be paid on the 15th of each month for all active subscribers who have been subscribed for a full 30 days. Detailed payout amounts and schedules can be found in the affiliates’ dashboard. 

• • Eligibility: Affiliates must comply with all eligibility requirements, including being legal residents of the United States of America and completing all necessary program documentation, such as tax forms, contact information, and banking details. 

• • Compliance: Affiliates must comply with all applicable laws and regulations and must not engage in any fraudulent or deceptive practices. 

• • Termination: X on Buzz LLC reserves the right to terminate or suspend the affiliate program at any time, for any reason, including but not limited to, breach of these terms. 

9. Eligibility

• • Active Subscriber Requirement: Only active subscribers of X on Buzz LLC are eligible to participate in the affiliate program. An active subscriber is defined as an individual who has paid the subscription fee and maintained their subscription status without interruptions. 

• • Minimum Subscription Duration: The referred subscriber must remain active for a full calendar month (30 days) before the affiliate is eligible to receive the commission. 

• • Account Standing: Affiliates must maintain their own accounts in good standing, adhering to all terms of service and community standards set forth by X on Buzz LLC. 

• • Geographic Restrictions: Participation in the affiliate program is currently only available to legal residents of the United States of America. Affiliates are responsible for complying with any local laws or regulations that may apply. 

• • Completion of Required Documentation: Affiliates must complete all necessary program documentation, including but not limited to, tax forms, contact information, and banking details, to participate in the affiliate program. Failure to provide accurate and complete information may result in ineligibility or termination from the program. 

10. User Obligations Users agree to:

• • Use the service in accordance with these Terms of Service and any applicable laws and regulations. 

• • Not use the service for any illegal or unauthorized purposes. 

• • Not upload or share any content that violates our Community Standards, including hate speech, adult content, or illegal goods and services. 

11. Responsibilities and Expectations Affiliates are expected to:

• • Promote Ethically: Engage in ethical marketing practices, avoiding any deceptive, misleading, or fraudulent promotions. 

• • Maintain Professionalism: Represent X on Buzz LLC in a professional manner, ensuring all communications and promotions uphold the company’s reputation. 

• • Accurate Representations: Provide accurate and truthful information about X on Buzz LLC services and offerings. 

• • Compliance: Adhere to all applicable laws and regulations, including advertising standards and consumer protection laws. 

• • Prompt Communication: Respond promptly to any inquiries or communications from X on Buzz LLC regarding the affiliate program. 

• • Reporting Issues: Notify X on Buzz LLC of any issues or concerns that may affect their participation in the affiliate program or the reputation of X on Buzz.

12.Liability Disclaimer X on Buzz LLC makes no representations or warranties of any kind, express or implied, as to the operation of this site or the information, content, materials, or products included on this site. You expressly agree that your use of this site is at your sole risk. X on Buzz LLC does not warrant that this site, its servers, or e-mail sent from X on Buzz LLC are free of viruses or other harmful components. X on Buzz LLC will not be liable for any damages of any kind arising from the use of this site, including, but not limited to direct, indirect, incidental, punitive, and consequential damages. 

13.Indemnification You agree to indemnify, defend, and hold harmless X on Buzz LLC, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorney’s fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. X on Buzz LLC reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with X on Buzz LLC in asserting any available defenses. 

14.Governing Law These terms and conditions shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising under or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of the State of Florida, United States. 

15.Entire Agreement These terms and conditions, along with any documents expressly referred to herein, constitute the entire agreement between us and supersede any prior agreements, understandings, or arrangements between us, whether oral or written. 

16.Severability If any provision of these terms and conditions is found to be invalid, illegal, or unenforceable by any court of competent jurisdiction, such provision shall be deemed to be severed from the rest of these terms and conditions, which shall remain in full force and effect. 

17.Waiver No failure or delay by us in exercising any right, power, or remedy under these terms and conditions shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude any further exercise thereof or the exercise of any other right, power, or remedy. 

18.Assignment You may not assign, transfer, or subcontract any of your rights or obligations under these terms and conditions without our prior written consent. We may assign, transfer, or subcontract all or any of our rights and obligations at any time without your consent. 

19.Notices All notices given by you to us must be given in writing to xon@xonbuzz.com. We may give notice to you at either the email or postal address you provided when placing an order or any other way we deem appropriate. Notice will be deemed received and properly served immediately when posted on our website, 24 hours after an email is sent, or three days after the date of posting any letter. 

20.Third-Party Rights A person who is not a party to these terms and conditions shall have no right to enforce any term of these terms and conditions. 

21.Force Majeure We shall not be liable for any failure to perform or delay in performance of any of our obligations under these terms and conditions that is caused by events outside our reasonable control, including but not limited to acts of God, war, terrorism, strikes, and natural disasters. 

22.Privacy Policy Our Privacy Policy explains how we handle your personal information.  By using our services, you consent to our data practices described therein. 

23.Dispute Resolution Any disputes arising out of or in connection with these terms and conditions shall first be attempted to be resolved through mediation, administered by [Mediation Service Name] under their rules. If mediation fails, the dispute shall be referred to and finally resolved by arbitration in accordance with the [Arbitration Service Name] rules, which are deemed to be incorporated by reference into this clause.

26.Limitation of Liability In no event shall X on Buzz LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
